第一条房屋情况:

乙方向甲方承诺,租赁该房屋作为 居住 使用,并遵守国家和本市有关房屋使用和物业管理的规定。
Party B warrants that the Property shall be used only for Living purposes. Party B also warrants that it will abide by the regulations of national and municipal laws of property leasing and management.
乙方保证,在租赁期内未征得甲方书面同意以及按规定须经有关部门审批而未核准前,不擅自改变上述约定的使用用途。
Party B promises that during the lease period, it shall not use the Property for any other purposes without Party A’s prior written consent and the relevant government authority’s consent.

在租期开始前,出租房屋及其家具电器应已装修或安装布置完毕,处于可供租赁的良好状态,并且甲方同意乙方在租期开始 日前将家具或物品搬入该房屋,乙方无需为此支付额外房租或费用。如果甲方在租期开始日没有向承租人交付符合使用状态的房屋及/或家具、电器,甲方应向乙方支付每日罚金,相当于月租金的三十分之一。该罚金将由甲方向乙方按日支付直至房屋及/或家具、电器完全交付至承租人为止。
The Leasing Premises and its equipment and furniture shall be fully renovated or installed and in tenantable condition before the commencement of the lease. Party A agrees that Party B may move all its furniture into the property days prior to the commencement of the lease term at no additional rent or cost of Party B. In the event that Party A does not hand over Premises, and /or furniture and electrical appliances to Party B in the required state on the Commencement Date, then Party A shall pay to Party B a daily penalty amounting to 1/30 of the monthly Rent, and which penalty shall be payable by Party A to Party B each day until the Premises, and /or furniture and electrical appliances are handed over to Party B.
租期届满,甲方有权收回出租房屋及全部家具、电器(包括附件所列之所有家具、设备),乙方亦应如期交还;乙方如要求续租,则享有优先续租权,但必须在本租约期满 30 日向甲方提出书面申请,租金双方另行协商。
On expiry of this lease term, Party A has the right to take back the leased property (including all the furniture, fittings and equipment listed in Appendix) in full, and Party B shall take back the leased property on time. If Party B wishes to renew the Leased Premise, Party B shall have the priority to renew the lease with a written notice 30 days in advance to Party A. The renewal rental shall be negotiated between the two parties upon extension.

Party B shall pay the Rental before the of every due month. In the event that Party B delays the payment of the Rental, Party B shall pay of the monthly Rental per day as a penalty for delay.

第五条押金其它费用:
Deposit and Other Charges:
甲乙双方约定,乙方应向甲方支付房屋租赁押金,押金为 个月的租金,即人民币 元。甲方收取押金后向乙方开具押金收据。
Party B will pay an amount equivalent to month(s) Rental as deposit. The deposit is _ RMB. Party A shall provide a receipt to Party B upon receiving the deposit.
乙方如在租赁固定期内,因乙方原因而终止租约(不可抗力除外),应提前2个月通知甲方,否则押金不予退还。
If Party B terminates the Lease Agreement during the fixed lease term for reasons other than Force Majeure, Party B should inform Party A 2 months in advance, otherwise the deposit will be kept by Party A as penalty charge for breach of the contract from Party B.
甲方因乙方违反本合同的规定而受的损失,可在押金中扣抵合理数目,在甲方做出该种扣抵前,需书面通知乙方将被扣抵的金额和理由,乙方有权拒绝不合理或不公正的抵扣,押金扣除后不足部分乙方必须在接到甲方付款通知后 15 个工作日内补足。若以上情况发生在租赁期的最后两个月,甲方有权在租赁期结束前提出合理损坏赔偿,该赔偿金额双方确认。
Party A may deduct a reasonable amount from the deposit towards payment of any actual damages Party A may have incurred or suffered as a result of Party B’s breach of this Agreement. Before making such deductions, Party A shall inform Party B with written notice of the amount which it intends to deduct and the reason for making such deductions. Party B shall be entitled to object to such deductions if they are unreasonable or unjustified. If the deposit is not sufficient, Party B must pay the deficiency when the deposit has been deducted within 15 working days after receiving the demand from Party A. If above situation happens in the last TWO months of the lease, Party A is entitled to raise demand for reasonable deduction, the amount shall be agreed by both parties.
押金以人民币支付,甲方收到押金后当日内,向乙方开具收据。
The deposit shall be paid in RMB. Party A shall issue a receipt to Party B the same day upon receiving the deposit.
甲方应于租赁关系消除且乙方迁空、点清并付清所有应付费用后的 3 日内将押金全额无息退还乙方。
Party A will return full amount of the deposit without interest in 3 days when this contract expires and party B clears the premises and has paid all due rental and other expenses.
若押金因乙方违约转为赔偿金,甲方应提供乙方相应金额的发票作为凭证。
If the deposit is kept by Party A as penalty charge due to breach of the contract from Party B, Party A should provide Party B duty-paid invoice in corresponding amount.
租赁期间,使用该房屋所发生 租赁期间的相关服务 由甲方承担; 等费用, 发票 均由乙方承担。
During the leasing period, relative rental service should be paid by Party A. invoice etc. should be paid by Party B. ?
第六条甲方的权利和义务:

本租约签订后,甲方不得无故收回房屋,如甲方中途要求收回房屋,乙方有权拒绝。在征得乙方书面同意解除租约后,甲方应返还乙方已付押金及剩余租金,并且向乙方支付与押金相等的金额作为赔偿金。
Party A is not permitted to take back the leased property during the term of contract without any reason. If Party A wishes to do so, Party B has the right to refuse. Upon the written consent of Party B to terminate the Lease Contract, Party A shall return the deposit and prepaid rent to Party B and shall pay Party B the compensation of the same amount of the deposit.
甲方应保持房屋处于可居住的状态或者良好的使用状态。该状态是指(包括但不限于):所有电器工作状态及功能正常;任何情况,连续断电,断水,断煤气不超过48小时;管道及排水设施连续堵塞不超过72小时,如有以上发生情况,甲方会24小时派人过来查看,除非该堵塞是由于乙方故意所为。
Party A shall keep the good condition, and the leasing condition of the Premise including but not limited to mean:all electronic appliances work in order; at any circumstances, the interruption of water, gas and electricity shall not last over 48 hours; Pipe blockage shall not last over 72 hours, if problems occur, Party A shall allocate worker to come to check in 24hours , unless such blockage is caused by Party B’s deliberate conducts.
甲方应负责租赁期内房屋及其设备的正常维修,并承担维修房屋及设备的正常磨损而产生的费用。若乙方及其代理人通过租约注明的甲方联系方式无法通知到甲方及代理人,乙方有权自行安排修理。修理产生的合理费用由甲方承担,乙方有权从次月租金中扣除相应的费用,乙方应向甲方提供修理费用发票或收据。
Party A shall be responsible for all normal maintenance of leasing Premises and equipment during the lease term, and Party A shall undertake all maintenance cost. In the event that Party B or its agent couldn’t reach party A or its agent through the contact information listed in the Lease Agreement, Party B shall have the right to arrange the repair work itself, the service charge shall be undertaken by Party A;Party B shall have the right to deduct the service charge which is accordance with the figure on the invoice of the maintenance service from the next rental without Party A’s prior permission.
甲方应对其固定设施,包括该物业的或引入该物业的结构、屋顶、排污、管道和缆线(包括电力及电话)等进行维护,使之处于完好、可租赁状态。如果对上述各项的造成的损坏或破坏不是由乙方或乙方相关人员的不慎、疏忽或不良行为造成的,或在租赁期内因任何原因,包括但不限于停水、停电、漏水、漏气、空调、热水器不能正常工作,及其他造成房屋居住环境恶化,影响乙方指定住户的正常生活秩序的,则甲方在收到乙方发出的通知后48小时内迅速修理或修缮该损坏处。若2天内(电力、电话及宽带除外)甲方仍不能修缮或修缮无效,乙方有权停止支付租金直到上述情况改进至乙方合理满意为止或者提供乙方同等日租金的酒店,直至上述影响居住的情况改进至乙方合理满意为止。情况严重影响乙方正常居住的,乙方有权以书面形式通知甲方终止本租赁合同.甲方应将乙方已缴付的押金将如数归还乙方。
Party A should maintain and keep the leasing Premises’ fixtures, including but not limited to the structure, roof, sanitary and plumbing facilities, drains, pipes, cables, water stoppages, power outages, water or gas leaks and disruptions to air-conditioning supply in good leasing condition. In the lease term, the events including but not limited to, water, and power failures, leaks, leak, air-conditioning and water heater do not work for any reason, and other deterioration has affected the normal living of the occupant of the Premises designated by Party B, Party A should repair or remedy any defects within 48 hours after being notified of such defect by Party B, If Party A fails to improve the negative situation within two (2) days (except electricity, telephone and board band)after receiving of such demand, Party B shall be entitled to withhold Rent until rectification of the situation to be the reasonable satisfaction of Party B, or shall be provided the hotel which is charged the same as daily rental until rectification of the situation to be the reasonable satisfaction of Party B . If the events affect the normal living of the occupant of the Premises designated by Party B badly, Party B shall issue a written notice to Party A to terminate this Lease Agreement, and the security deposit paid by Party B shall be returned in full to Party B.
若甲方违反此租约的条款并在乙方发出书面通知15天后仍未改正,乙方有权终止此租约,收回押金,且有权进一向甲方要求索赔。
Party A covenants that Party B shall have the right to terminate the Lease Agreement when Party A seriously breaches the Lease Agreement and fails to remedy the breach after fifteen days of giving written notification of Party B, the Party B shall be entitled to withdraw the deposit without deduction and without prejudice to its right to claim for any losses and damages against Party A.
甲方保证如实、完整告知乙方关于租赁房屋权属、结构、环境及使用上的任何瑕疵和缺陷,如因甲方违反上述保证而造成乙方的任何损失,甲方应负责赔偿。
Party A guarantees it has made true and complete disclosure to Party B on the leasing Premises’ title, structure, environment and any defects on its usage. Party A shall compensate Party B any losses incurred due to any breach of Party A to its above-mentioned guarantee.
甲方应提供证明其拥有租赁房屋的完整所有权或使用、出租权的相关证明并供乙方查验(包括但不限于土地使用权证书、房屋所有权证书、租赁合同、及其他证明文件)。
Party A shall provide documents to show its full ownership or right to hold or lease the property for Party B’s verification, those evidences including but not limited to the Land Use Right Certificate, House Ownership Certificate, Lease Contract and other supporting documents.
如在租赁期内,出租房屋发生所有权全部或部分的转移、或其他影响乙方权益的事情
时(甲方出售房屋或者抵押房屋),甲方应保证所有权人或其他影响乙方权益的第三者,能继续遵守本合同所有条款。纵使出租房屋已被转移,如乙方于本合同下的权益受此等所有权人或第三所影响或损害,甲方须负责补偿乙方的所有损失。
If during the lease term, all or part of the leasing Premises is transferred or mortgaged to a third party by Party A, or Party B’s right to use the leased property is otherwise affected, Party A shall ensure that such transferee or third party having an effect on Party B’s right to use the leasing Premises will continue to abide by the terms of this Lease Agreement. Even if the leased Premises is transferred where a transferee or a third party affects Party B’s interests under this Lease Agreement, Party A shall continue to be liable to keep Party B fully indemnified against all damages suffered by Party B.
甲方谨在此声明及保证甲方为出租房屋的合法拥有人并有合法地位出租此房屋于乙方。就本合同及出租此出租房屋予乙方之事,甲方已取得所有共同权利人及有关机构的批准,包括政府批准及/或抵押权人的同意(如适用)。甲方于本合同所做出的声明及保证,如有错误或违反者,甲方须就乙方因此而引致的任何损失、损害、支出及费用做出全部补偿。
Party A hereby represents and warrants that Party A is the legal owner of the leasing Premises and has the necessary legal capacity to lease the property to Party B. Party A has also obtained all the necessary parties and authorizations from all relevant authorities in the People’s Republic of China in respect of this Lease Agreement and the leasing of the leasing Premises to Party B, including any necessary government approvals or registrations and/or mortgagee consent (if applicable). Party A shall continue to be liable to keep Party B fully indemnified against any costs, expenses, losses and damages suffered by Party B due to any breach of Party A to its above-mentioned guarantee.
甲方应提供充分的保安, 消防工作及安静清洁的居住环境。如果该房屋中存在有害气体、噪音(周边公共建设或房屋装修,在国家规定允许施工时间段内施工造成噪音的除外)或者其他危害健康的形,经执证机关通过专业检测后证明房屋内的有害气体、噪音或者其他情形确实超过国家规定的健康标准的,乙方有权凭检测报告终止本协议,甲方应返还乙方全额押金。
Party A should provide adequate security, fire prevention and quiet & clean circumstance. If there is poisonous gas, noises(except the noise from the public facility construction or renovation which is conducted during the allowed period by government),and other cases which are hazardous to health in the apartment, which exceed the standard regulated by government, Party B has the right to terminate this Agreement immediately. Party A shall refund the whole amount of deposit to Party B.
第七条乙方权利和义务:
Party B’s Rights and Obligations:
乙方应按期交纳租金及其他费用。若超过限定期限 10天,乙方仍未支付的,则甲方有权解除本租约,押金作为违约赔偿金归甲方所有。
Party B should pay the rent and other charges according to the contract term. If Party B fails to pay the above mentioned fee for over 10 days, Party A has the right to terminate this agreement and Party A can keep the deposit as penalty of Party B’s breach of the agreement.
本租约签订后, 若乙方未按本租约的约定支付首月租金及押金超过 10 日以上,甲方有权解除本租约(若因甲方提供的银行帐号错误或信息不全等原因造成乙方付款的延迟除外), 同时甲方有权向乙方索取相当于押金总金额的赔偿金。
In the event that Party B fails to pay the rent for the first month and deposit according to the stipulation of this Lease Agreement for more than 10 days, Party A is entitled to terminate this Agreement without prior notice (the failure of the payment caused by the wrong banking information provided by Party A, etc shall not apply), and at the same time Party B should pay the same amount of the deposit as compensation.
租赁期间,乙方将该房屋部分或全部转租给他人,应事先征得甲方的书面同意,并符合国家和本市有关房屋租赁的规定。乙方转租该房屋的,应与次承租人订立书面的转租合同。如乙方擅自转租该房屋或转让该房屋承租权,甲方有权解除本合同,并有权要求乙方赔偿损失。
During the lease term, unless with the written consent of Party A and in accordance with local law and regulation, Party B cannot sub-let or let in part or in full the leasing Premises. Party B must sign written agreement with sub-tenant if Party shall sub-let the Premises. If Party B conduct sub-let without authorization, Party A shall be granted the right to terminate this contract and charge reasonable penalty from Party B.
乙方应爱护房屋及其设备,如因使用不当而导致损坏,乙方应负责赔偿。
Party B must take good care of the property; otherwise Party B should pay compensation to Party A for his improper use of the property.
除房内已有的装饰和设施外,乙方如要增加设备或其他装修须征得甲方同意。租赁期满,乙方向甲方交还房产时,必须恢复其原状且承担相应的费用,正常磨损及挂画钉钉子对墙面造成的损坏除外,即甲方允许乙方在墙面钉钉子挂画且修复和粉刷的费用不由乙方承担。除此之外,未经甲方书面同意下,乙方不得擅自设立、安装或移动设施及设备,不能擅自设立隔断,不得擅自对房屋的结构改动或增加。
In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decoration to such property, Party B should get the consent of Party A. On completion of the Lease term, Party B must hand over the property to Party A in its original condition, and all fees arising for re-instatement of such shall be assumed by Party B, except for normal wear & tear and except the damage to the wall due to the nails to hang pictures, that is Party A allows Party B to put nails to hang pictures and Party A does not charge Party B for the fixing and painting fee. Except this two, Party B shall not erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.
由于乙方或与乙方有关系的官员、上司、雇员、客人、来访者、雇佣工人、代理、执照持有者或被邀请人等(统称与乙方相关的人)的粗心、疏忽或故意而造成房屋的损害或损失的,乙方应当承担赔偿责任,并允许甲方或其代理人在事先通知后进入房屋,对房屋的损失或损害进行弥补及修复,由此所发生的费用由乙方负担。
To indemnify Party A for any loss or damages to the leased property from negligent act or omission of Party B or any officer, director, employee, guest, visitor, servant, agent licensee or invitee of Party B (each referred to hereinafter individually as an “associate”), to permit Party A or his authorized representatives with advance notice to enter the leased property to repair any such loss or damage at the expense of Party B.
在甲方合理的预先通知后,乙方应允许甲方或其代理人在有理由的情况下进入及巡视和检查房屋,进行必要的维修或修复工作;在租赁期最后一个月内,允许甲方或其代理人带领有意租赁或购买房屋的客人视察房屋,但乙方已书面通知甲方将续租的除外。
With Party A’s reasonable notice in advance, Party B should permit Party A and person authorized by Party A under reasonable circumstances to enter and view the leasing Premises, to carry out any work and repairs which is deemed necessary. During the last one month of the lease term, Party A has the right to show the leasing Premises to prospective tenants or purchasers, unless Party B has informed Party A of its intention to renew the leasing Premises.
租赁房屋过程中,必须严格遵守中华人民共和国的有关法律、细则、规章及法令的规定, 并严格禁止乙方利用房屋进行违犯法律及不道德的行为。
Strictly comply and adhere in the usage of the leased property according to all laws, regulations and decrees of the People’s Republic of China, and specifically not to permit the leased property to be used for any purpose that is unlawful or immoral.
房屋除供乙方居住之外,未经甲方书面同意,房屋不可作办公或协议未曾说明之用。
The leased property is only for residential use. Party B shall not use the leased property as office or some other purpose without the written consent of Party A.
乙方应遵守物业管理公司的规定,未经甲方书面同意, 屋外不得擅自放置标示板及陈列任何设施,不允许在房外、窗及门上挂晒衣物以影响房屋外观面貌。
Party B shall obey the regulations issued by the management office, not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A.
乙方因特殊原因不能于合同到期日迁出,在征得甲方同意后,乙方可按日支付租金直至迁出。
In the event that party B can not move out on the termination date for special reason(s), only under the consent of Party A, Party B can pay rental on daily basis until moving out.
第八条违约责任:
Breach of Contract:
任何一方违反本协议的规定,或其他在本协议内所作的陈述、保证或承诺,造成另一方经济损失的,违反方应依照合同约定承担相应的赔偿责任。
Any Party who breaches the provisions of this contract, or its representations, warranties or convents made hereunder, causing the other Party loss, shall bear responsibility for compensation according to the contract term.
第九条不可抗力:
Force Majeure:
该房屋因公共利益需要被依法征收的。若此情况发生,甲方应书面通知乙方,并在做出上述通知的十天之内将押金及预付租金全部退还乙方。
The Premises is expropriated by the government by public interest reason. If such an event occurs, Party A shall give a written notice to Party B, and the deposit and the rest of rent paid by Party B shall be returned in full within 10 days of said notice.
房屋由于火灾、恶劣天气、战争或其它不可抗力因素, 而不是因为乙方直接或间接的疏忽及故意行为造成房屋毁坏而不能被正常使用及居住时,乙方从该日起停止支付租金,直至房屋可再被使用及 居住时为止,甲方根据自己的意愿及经济、实际意义等原因,没有义务必须修缮复原房屋。若此情况发生,甲方应书面通知乙方,并在做出上述通知的十天之内将押金及预付租金全部退还乙方。
If the leased property is substantially destroyed or damaged by fire, bad weather, war, and other factors of Force Majeure, and not attributable directly or indirectly to the negligence or malice of Party B or are otherwise rendered unfit for use or occupation, the rent shall cease to be payable from the date the leased property become unfit for use or occupation until the leased property shall again be rendered accessible and fit for use, however, that the Party A shall be under no obligation to repair the leased property, when in Party A’s opinion, it is not reasonably or economically or practically to do so. If such an event occurs, Party A shall give a written notice to Party B, and the deposit and the rest of rent paid by Party B shall be returned in full within 10 days of said notice.
第十条适用法律及争议的解决:
Legislation & Arbitration of the Dispute:
本租约受中华人民共和国法律的约束,如发生与本租约有关的争议,由双方友好协商解决,协商不成,双方可向上海市人民法院提起诉讼解决。
This Lease Agreement shall be governed by the laws of the PRC. In case any dispute arises over this agreement, the two Parties shall negotiate friendly, if failed, shall bring on the suit to the Shanghai People’s Court.
第十一条 通知:
Notice:
甲方和乙方特此约定,所有关于对方的权利或义务的交给对方的通知应书面做出,并由通信员、邮件、传真或急件信使送至以下地址。乙方向前述联系地址以挂号信方式邮寄法律文书的,即视为法律文书已经通知并送达甲方。甲方应将其名称或地址的任何变更告知乙方。如果由于未向乙方通知的甲方的名称或地址等的变更,乙方未能支付租金,则乙方不承担责任。
Party A and Party B agree hereby that all notices to be delivered to the other Party with regard to either Party’s rights or obligations shall be in writing and be sent by messenger, mail, facsimile or courier to the addresses listed below. All the legal documents sent by Party B to the addresses listed below are deemed to be acknowledged by and delivered to Party A. Party A shall inform Party B of any name change or address change of Party A. Party B shall not be liable for any failure to pay rent by Party B due to the Party A’s name or address change not communicated to Party B.

本租约未尽事宜,经甲、乙双方协商一致,可订立补充条款。本租约补充条款、附件均为本租约不可分割的组成部分,本租约正文及其补充条款、附件具有同等法律效力。
Party A and Party B shall make the supplementary agreements for the unaccounted term of this agreement through negotiation between Party A and B. All supplementary term and the appendix forms are internal parts of this contract and shall have the same force and effects as the main text of this contract.
本租约自签字之日起生效,租约文本一式叁份,甲、乙、两方各执一份,中介方一份,中英文具有同等法律效力。中英文条款及意思如有不一致之处, 以中文为准。
This contract shall become effective on the date after the signing by both parties. Three originals shall be signed. Each Party shall hold one copy of this original contract. And the agency hold one original. Both Chinese text and English text shall have the same legal effect.
